This Seller Policy ("Policy") constitutes a binding agreement between the registered seller ("Seller," "you," or "your") and ThirdWorld Innomart Pvt Ltd ("ImpurityX," "we," "our," or "us"). This Policy governs your participation on the digital reverse auction platform operated at www.impurityx.com ("Platform").

By registering on the Platform and submitting any bid, you affirm that you have read, understood, and agreed to be bound by this Policy, in addition to the Platform's Terms of Use, Privacy Policy, and any other applicable rules or notices issued by ImpurityX.

1. DEFINITIONS

1.1. "Buyer" refers to a registered user of the Platform who submits a purchase requirement for products listed by the Platform administrator.

1.2. "Seller" refers to any business entity, sole proprietorship, or individual registered and authorized by ImpurityX to participate in the bidding process.

1.3. "Bid" means the pricing proposal submitted by a Seller in response to a Buyer’s requirement.

1.4. "Product" refers to items or goods listed on the Platform by the administrator, for which Buyers may submit requirements.

1.5. "Reverse Auction" refers to the bidding process wherein multiple Sellers quote competitive prices in response to a Buyer’s posted requirement.

2. SCOPE AND NATURE OF THE PLATFORM

2.1. ImpurityX operates as a neutral intermediary facilitating reverse auctions exclusively for pre-listed products. The Platform does not permit Sellers or Buyers to list their own products independently.

2.2. Sellers are strictly limited to quoting a price against Buyer-posted requirements. All other commercial and contractual terms shall be exclusively defined by the Buyer and are non-negotiable.

2.3. Sellers are prohibited from attempting to alter, amend, or suggest modifications to Buyer-defined terms and conditions.

3. SELLER REGISTRATION AND ELIGIBILITY

3.1. Only duly registered and verified Sellers may participate in the reverse auction process.

3.2. To register, Sellers must furnish:

• Valid business registration certificates (GST, PAN, etc.)
• Identity proof of authorized representative
• Bank account details
• Any additional documentation as required by ImpurityX

3.3. ImpurityX reserves the sole and absolute discretion to approve, reject, suspend, or temporarily or permanently remove any Seller without assigning any reason.

3.4. Sellers shall be solely responsible for maintaining the confidentiality and security of their login credentials.

4. BIDDING RULES AND PROCESS

4.1. All requirements posted by Buyers shall include fixed and non-negotiable terms, including but not limited to:

• Specifications
• Delivery mode, schedule and location
• Payment terms
• Legal and commercial obligations

4.2. By submitting a Bid, a Seller unconditionally and irrevocably agrees to abide by all Buyer-defined terms, without deviation or exception.

4.3. Each Bid must strictly contain a single, consolidated offer price that is all-inclusive of every cost component, including but not limited to delivery charges, analytical testing/report fees, sampling costs, packaging, and any other incidental or ancillary expenses. Goods and Services Tax (GST), however, shall be charged separately in accordance with the applicable statutory rates. Any Bid that seeks to introduce, imply, or attach additional commercial or contractual terms, conditions, qualifications, assumptions, or disclaimers shall be deemed non-compliant and summarily disqualified at the sole discretion of ImpurityX.

4.4. Finality of Bids: Once submitted, a Bid shall be deemed final, irrevocable, and binding. A Seller may, however, resubmit revised Bids multiple times prior to the bid submission deadline, provided that each subsequent Bid quotes a total price strictly lower than the lowest bid previously submitted by any Seller, including themselves. The Seller shall remain legally bound and fully liable for the latest Bid submitted prior to the deadline and shall have no right to withdraw, modify, or cancel such Bid thereafter under any circumstances.

4.5. Submission of a Bid constitutes a legal offer, enforceable under applicable laws, and obligates the Seller to supply the product at the quoted price upon Buyer acceptance.

4.6. The Platform does not guarantee bid visibility, acceptance, or success. The Buyer has full discretion in accepting any Bid.

5. CONFIDENTIALITY AND NON-DISCLOSURE OF IDENTITIES

5.1. The identities of participating Sellers shall remain strictly confidential and shall not be disclosed to any party, including other Sellers or Buyers.

5.2. The identity of the Buyer shall likewise remain confidential during the bidding process.

5.3. Upon a Buyer’s acceptance of a Bid, the identities of the winning Seller and the accepting Buyer shall be disclosed only to each other, solely for the purposes of fulfillment and execution.

5.4. ImpurityX shall not, under any circumstances, disclose the identity of any participant to unrelated third parties.

5.5. Any attempt by Sellers to circumvent the Platform by contacting Buyers directly shall be treated as a material breach and shall result in immediate termination and legal consequences.

6. PERFORMANCE AND OBLIGATIONS

6.1. Upon bid acceptance, the Seller shall:

• Fulfill the order in strict compliance with all Buyer-defined terms
• Adhere to delivery timelines
• Ensure product authenticity, quality, and conformity
• Provide valid invoices

6.2. Failure to perform shall constitute breach of contract and may result in suspension, legal action, and/or indemnification liability.

6.3. Sellers shall not engage in any fraudulent, unethical, or manipulative conduct that compromises the integrity of the Platform.

7. FEES, COMMISSION, AND PAYMENT TERMS

7.1. ImpurityX may levy a commission, transaction fee, or service charge, as applicable, for facilitating successful transactions. Such charges shall be communicated in advance.

7.2. Payment terms, including due dates, mode, and conditions, shall be as defined by the Buyer and must be accepted by the Seller without modification.

7.3. Sellers shall be solely responsible for compliance with applicable tax laws and issuing compliant tax invoices.

8. COMPLIANCE, AUDIT, AND TERMINATION

8.1. ImpurityX reserves the right to monitor Seller activity, evaluate performance, and conduct audits for compliance.

8.2. ImpurityX may, at its sole discretion, suspend or terminate any Seller account for:

• Breach of this Policy or Platform Terms
• Failure to fulfill accepted orders
• Fraud or misrepresentation
• Legal non-compliance

8.3. Upon termination, the Seller shall forfeit access to the Platform and all associated benefits, with no liability on the part of ImpurityX.

9. INDEMNIFICATION AND LIMITATION OF LIABILITY

9.1. The Seller agrees to indemnify, defend, and hold harmless ImpurityX, its affiliates, directors, and employees from any claims, losses, liabilities, or damages arising out of:

• Breach of this Policy
• Violation of Buyer-defined terms
• Product defects or delivery failures

9.2. In no event shall ImpurityX be liable for any indirect, incidental, punitive, or consequential damages, including loss of profits or goodwill.

10. GOVERNING LAW AND DISPUTE RESOLUTION

10.1. This Policy shall be governed by and construed in accordance with the laws of [Insert Jurisdiction, e.g., Republic of India].

10.2. Any disputes shall be subject to the exclusive jurisdiction of the competent courts located in [Insert City, e.g., Mumbai], and the parties waive any objections to such venue.

11. AMENDMENTS AND NOTICES

11.1. ImpurityX reserves the right to amend this Policy at any time. Continued use of the Platform shall constitute deemed acceptance of such changes.

11.2. Notices, alerts, or communications shall be sent electronically to the Seller's registered email or via Platform notifications and shall be deemed valid upon dispatch.
