Impurityx Buyer Policy

Effective Date: 1st August, 2025

This Buyer Policy ("Policy") sets forth the terms, conditions, rights, and responsibilities applicable to all registered buyers ("Buyer(s)", "You", or "Your") using the Impurityx platform ("Platform", "We", "Us", or "Our") operated by [Insert Company Name, e.g., ThirdWorld Innomart Pvt Ltd].

By registering on or using the Platform for any transaction, you agree to abide by this Policy, our Terms of Use, Privacy Policy, and any other relevant agreements.

 1. Eligibility to Buy

  • Buyers must be legally registered entities (e.g., pharmaceutical companies, CROs, research institutions) with a valid GSTIN or equivalent tax registration, as applicable.
  • Individual buyers or non-registered businesses are not permitted.
  • You must be authorized to make purchases and enter into legally binding agreements on behalf of your organization.

 2. Account Verification and Use

  • Buyers are required to provide accurate, complete, and verifiable business details, including but not limited to: the legal entity name, registered billing and shipping addresses, Permanent Account Number (PAN), Goods and Services Tax Identification Number (GSTIN), contact person details, and official communication email address.
  • Buyers shall be solely responsible for the confidentiality, security, and proper use of their login credentials, and must ensure that access to their Impurityx account is strictly limited to authorized personnel. Any activity conducted under the Buyer’s account shall be presumed to have been authorized by the Buyer, and Impurityx shall not be held liable for any unauthorized use or access arising from negligence or failure to maintain account security.
  • Access to the Impurityx platform by a Buyer shall be granted only upon successful verification and satisfaction of all requisite details and documentation as determined solely by the Impurityx administrative team. The decision to approve, reject, or revoke access shall lie entirely with Impurityx, and such decision shall be final, binding, and not subject to appeal, review, or protest by the Buyer. Impurityx reserves the right to deny access without assigning any reason and without incurring any liability.

3. Product Requests and Purchase Process

Buyers may initiate a product request or inquiry either by selecting from the listed products available on the Platform or by submitting a custom requirement through the designated inquiry form.

All commercial and technical parameters, including but not limited to pricing, minimum order quantity (MOQ), Certificate of Analysis (COA), regulatory documentation, and product availability, are subject to review, validation, and confirmation by the respective Seller. Impurityx does not guarantee the accuracy or completeness of such information at the time of listing or inquiry.

Any quotation or proposal provided through the Platform, whether automated or manual, shall be considered a non-binding invitation to offer. A legally binding agreement shall arise only upon mutual written confirmation of terms and issuance of a Purchase Order or Work Order accepted by both the Buyer and the Seller.

4. Order Confirmation and Payment

  • An order is confirmed only upon mutual acceptance and issuance of a Work Order or Purchase Order (PO).
  • All payments shall be made as per the agreed payment terms—either in advance, on delivery, or as per credit terms mutually agreed upon and documented.
  • Impurityx may act as a facilitator of the transaction but shall not be held liable for payment defaults by either party.

 5. Shipping, Delivery & Inspection

  • Delivery timelines, shipping terms (FOB, CIF, DDP, etc.), and courier/logistics charges will be communicated and confirmed before the order is accepted.
  • Buyer must inspect the received goods within 7 working days of delivery. Any concerns regarding quality, quantity, or non-conformance must be raised within this period.
  • If not disputed within 7 working days, the order will be deemed accepted by the Buyer.

6. Quality Assurance and Documentation

  • The seller is responsible for providing all relevant quality documentation including COA, MSDS, and regulatory certifications (where applicable).
  • Buyers are expected to review and validate product suitability for their intended use before making a purchase.

 7. Dispute Resolution

  • Any disputes regarding product quality, payment issues, or documentation shall be first addressed via the Platform’s resolution mechanism.
  • If resolution is not reached within 15 business days, either party may escalate the matter to legal arbitration under Section 12 of the Indian Arbitration and Conciliation Act, 1996. Venue: Mumbai.

 8. Refunds and Returns

  • Returns shall be accepted only in the event of verifiable non-conformance or damage not attributable to Buyer’s handling.
  • All return requests must be accompanied by detailed photographic or analytical evidence.
  • Refunds, if applicable, shall be processed within 15 working days upon confirmation of return and verification.

 9. Buyer Conduct

Buyers must refrain from:

  • Circumventing the Platform by directly contacting sellers to avoid Platform charges or policies.
  • Sharing or misusing confidential data or documents obtained via the Platform.
  • Engaging in fraudulent, misleading, or unethical business practices.

Violation of this policy may lead to permanent suspension of Buyer account and potential legal action.

 10. Limitation of Liability

  • Impurityx acts as a technology facilitator and is not a direct party to the sale contract between the Buyer and Seller.
  • We do not make representations or warranties about the merchantability, suitability, or regulatory status of any product listed.
  • Under no circumstances shall Impurityx be liable for direct, indirect, incidental, special, or consequential damages arising from any transaction.

 11. Amendments and Modifications

Impurityx reserves the right to amend this policy from time to time. Buyers will be notified of material changes via email or platform alerts.

 12. Governing Law and Jurisdiction

This Policy shall be governed by the laws of India. Courts in [Insert City, e.g., Mumbai] shall have exclusive jurisdiction over any disputes.
