SELLER RETURN POLICY FOR IMPURITYX.COM

1.      Scope and Applicability

This Return Policy (“Policy”) governs all transactions between Buyers and Sellers on ImpurityX.com (“Platform”) involving the supply of impurities, reference standards, or chemical products through reverse auction. By participating on the Platform, Sellers accept and agree to comply with the provisions of this Policy without exception.

2. Buyer-Defined Return Terms Binding

2.1. The return, replacement, or rejection of goods shall be governed exclusively by the terms set forth in the Buyer’s requirement description.

2.2. Sellers may not introduce any independent return or refund conditions, whether prior to or after the bid process.

2.3. Bids submitted shall be construed as unconditional acceptance of the Buyer-defined return terms.

3. Conditions Under Which Returns Are Permitted

3.1. Returns shall be allowed only under the conditions specified below, unless otherwise agreed upon in a separate agreement executed between the Buyer and the Seller:

• The material supplied does not meet the specified purity levels, analytical parameters, or certified composition;
• The material is contaminated, expired, damaged during transit, or non-compliant with the COA (Certificate of Analysis) or MSDS (Material Safety Data Sheet) provided;
• The packaging or labeling is materially defective or does not meet the safety/shipping conditions as required by law or the Buyer;
• The Buyer identifies quality discrepancies within the specified acceptance period (as per Buyer terms) upon receipt.

3.2. Products opened or tested inappropriately by the Buyer, or stored improperly post-delivery, shall not be eligible for return.

4. Return Process and Seller Obligations

4.1. Upon valid return notification, the Seller must initiate return logistics within 3 business days or within the timeline stipulated by the Buyer, whichever is shorter.

4.2. Return shipping must adhere to relevant regulatory guidelines (e.g., handling of hazardous substances, proper labeling, secondary containment).

4.3. All return-related costs—including reverse logistics, replacement costs, analysis/testing at third-party labs (if required), and safe disposal—shall be borne by the Seller, unless otherwise agreed in advance by the Buyer.

5. Refunds and Replacements

5.1. Refunds or replacements must be initiated within 7 working days of validated return receipt unless a different period is specified by the Buyer.

5.2. Where replacement is not feasible, the Seller shall issue a full refund (excluding GST where non-applicable under law).

6. Rejection Without Return

In case of hazardous, unstable, or irreversibly compromised materials, the Buyer may opt for documented disposal at their end with prior notice and supporting evidence. The Seller shall remain liable for the full commercial value of the rejected batch under such circumstances.

7. No Unauthorized Terms or Refusals

Sellers are strictly prohibited from imposing independent limitations or refusing valid returns in conflict with Buyer-stated conditions. Such conduct shall amount to a material breach of the Platform’s policies and may result in financial penalties, blacklisting, or legal action.

8. Dispute Resolution

Any disputes relating to returns shall be escalated through the Platform’s internal dispute resolution mechanism. If unresolved, the matter shall be referred to binding arbitration under the terms defined in the Platform's Terms of Use.

9. Amendments

ImpurityX reserves the right to modify this Return Policy at its sole discretion. Sellers will be notified of such changes via electronic communication or Platform announcement. Continued use of the Platform after modification shall constitute binding acceptance.
